- Management resolutions all passed with overwhelming majority
- Shareholders authorise proposed dividend of €1.00 per share

Freudenstadt, 21 March 2006. Some 450 shareholders and guests attended the 9th Annual General Meeting of schlott gruppe AG in Freudenstadt. Overall, nearly 47 per cent of the company's share capital was present. Shareholders were particularly satisfied with the performance of schlott gruppe over the course of the financial year, which made for a very harmonious AGM. The actions of the Management Board and Supervisory Board were approved almost unanimously. The other proposals put forward by the management were also adopted on the basis of large majorities. The shareholders approved the proposed appropriation of net retained earnings ("Bilanzgewinn", also referred to as unappropriated surplus). Within this context, the dividend payment was increased, for the second year in succession, by ten cents to €1.00 per share. AWT Audit Wirtschafts-Treuhand AG, Stuttgart, was reappointed as auditor for the 2005/6 financial year.
The Chairman of the Supervisory Board, Mr. Erwin Kiefer, introduced Mr. Heiko Arnold as the new member of the Management Board. Aged 41, he is married and has two children. Mr. Arnold will assume his new responsibilities as Chief Financial Officer and member of the Management Board of schlott gruppe AG effective from June 1, 2006. In particular, Mr. Arnold will be accountable for the full range of activities associated with Investor Relations, Treasury and Controlling. Heiko Arnold has a proven track record in the area of controlling, finance, M&A and corporate integration of acquired enterprises, as well as capital market communication.
